LAWS OF THE UNION
AN ACT Incorporating the Columbian Insurance Company of Alexandria. Be it enacted by the Senate and House of Representatives, of the United States of America in Congress assembled, That the Columbi in Insurance Company of Aicxandria, Which Was formed and established in th town Of Alexandria on the 96th day of April in the var 18 13, In4, and they are hereby created a body politic, and by that name shall have success ion, shall sue a A be sued, Implead and be impleaded in covenant debt e r e, by bill or by Warrant before any judg6 or Justice and in a4l Courts of law and equitv. Sec. 2. And .V itfurt ' r enacted. That the capkal of the said Company, which now consists of two hundred and seventy seven thousand dollars, in shares of fifty dollars each, m ry be increased whenever tbe business of the said company, in the opinion of the President and Directors for the time bt itt, may re mirtfit, to an extent Hot exceeding one million of dollars in like shares. Sec 3. And b it f tttbet enacted that the (existing bard of lresident and directors of said company may seme i;i those capacities until next election of Directors nit the first Monday of November, in the year isis ; fourteen davs before which period public notice shall be iyen by the said President and Directors to the Stockholders that an election will be held on that day : and they shall appoint two or more other Stockh dders as commissioners, to superintend the same; at which election every Stock holder shall be entitled to give one vr.tc for each share which lias stood in his name 20 d ays last preceding for eleven persons, bein stockholders citizens of the United States, and residents of the District of Columbia or of the county of Fairfax, in Virginia as Directors of sai 1 corporation, The persons thus elected shall, at their first mce'imr, proceed forthwith to fix the salary of the ''resident, a-vl afterwards to biselection from their own body, and shall continue in office until the succeeding election of Directors, an I no longer Under the same regulations shall an i lection be repeated annually. And be it furl he? enacted That the said President and Directors, shall conduct business in the town of Alexandria in the District of Columbia ; that they shall keep proper books and record their proceedings therein ; that on the first day of May and the first dav of Novemher in every year, they shall declare a dividend of so much of the clear profits as they may d vm advisable and within ten dayi there tftcr shall pay the same to the Stockholders t butitsiiail not be lawfoj for the said President and Directors to i ifilude in such dividend the premium of any risk which has not actually terminated, : or to d;;ide more, than twothirds of the clear profits, until, by the half yearly appropriation of the other third thereof, a contingent fund of 20,000 dollars shall be formed ; and so often as the fund shall be impaired by losses, the said President and Directors shall continue the half yearly appropriation aforesaid, until it be restored to the amount before mentioned. Sec 6.
