And be it further enacted, That the faid ftock holders and their fucceflors, from the time of thc faid fit ft meeting, Hull be, and they are hereby declared to be, in corporated by thr name of the 44 Wellington Canal Company," and by that name may fue and be fued, implead and be im pleaded, anfwer and be anfwered, and may make all neceflary bye laws and regulations for the proper management of the buli nefs of the company : Provided, That the fame be not contrary to the laws of the United States, or the laws in force in the diftricl of Collumbia. sec. 4. And be it further enacted, That the faid prefident and directors fhall continue in office one year from the time of their election, and the directors may fill any vacancy which may happen in their own body during the term for which they were circled, and in cafe of the death, refignation or difqualification of the prefident, they may elect a prefident to fcrve for the residue of the term ; and the fid ftockholders, in one year after the day on which the election of Prefident and directors fliall be firft made, and on th fame day in every year thereafter, (except the fame fliall happen on Sunday, in that cafe on the day fucceeding) fhall elect by ballot from among the ftockholders, one perfon as prefident, and fix perfons as directors ; and the prefident and directors for the time being, fhall give public notice, in one of the newspapers printed in Wafhington, Georgetown, and Alexandria, for a new election, at leaft ten days previous to the expiration of the time for which they were elected, St each ftockholder fliall be allowed one vote for every fliare by him or her held at the time in faid company ; and any ftockholder, by a written authority under his or her hand, and executed in the prefenre of two witnrfles, may depute any other ftockholder to vote and act as proxy for him or her at any general meeting, sec. 5. Sec. 10 And be it further enacted, That
the fhares in the faid company fhall be
deemed perfon.d and not real property, and
transferable in luch manner as me company fliall direct, and that the fliares held by any individual fliall be liable to be attached or taken bv fieri faciss, to fatisfy the
dents due from any fuch individual, in like manner as other perfonal property may
be.
Sec. 1 1 . And be it further enacted, That there fliall be a genera! meeting of thc ftock holders on the firft Monday in June, and the firft Monday in December, in every year, in the city of Wafhinrrton, to

fhall make a report, and vender diftinct and juft accounts of all their proceedings ; and on finding them juftly and faiily ftated, thc ftockholders then prefent, or a majority of them, flnll give a certificate thereof; and at fuch half yearly general meetings, after leaving in the hands of the treafurer fuch fum as fliall be judged neceflary for repairs, improvements or contingent charges, an equl dividend of all the nett profits arifing from the wharfage and tolls hereby granted, flnll be ordered, and made to and among all the ftoikholders of the faid company, in propotrion to their feveral fliares ; provided, that if the nett profits fliall, in any year exretd fifteen per centum on the fum actually expended by the faid company, in opening the faid canal, and completcing tlie fame, the fifteen percentum only of the nett profitsfliall de divided among the ftockholders, and the excefs fhall be paid to the mayor and city council of the city of Wafhington, for the ufe of the faid city. .: . 6Yc. 12. And be it further enacted, That for and in confutation of the cxpences, the faid ftockholders fhall incur in cutting the canal, erecting locks, and in maintaining and keeping the fame in repair, and in the enlargement and . improvement of the fame, the faid company is hereby authorifed to collect on all articles and materials landed on each fide of the canal, from on board any boat or fcow,or placed on either fide of the faid canal, for the purpofe of being taken therefrom by any beat or fcow, according to fuch rates as the prefident and directors may, from time to time, by their bye-laws,. order and dire& : Provided, That the faid rates fhall, at no time hereafter, nnd in no particular, exceed the rates which are, or may be eftahlifhed by the owners of wharves in the city of Wafhington. And it fhall and may be lawful for the faid company to demand and receive, at the moll convenient place, for all articles carried through the faid canal, tolls not exceeding the following rates, that is to fay ; tor each unloaded boat or fcow twenty-five cents ; for each barrel of fl nnr tut --n .
