Benjamin Miller, in Saluda township, on Saturday the rth day of April inslant, Capt. Edward R. Maxwell was appointed to the chair, and Samuel W. Leiper Secretary. The committee, appointed for that purpose, to wit. Messrs. George Logan, George Shannon, jun. E. R. Maxwell, Samuel W. Lei per, Thomas Taylor, Esq. ;jnd James Anderson, reported the following CONSTITUTION, which was unanimously adopted. WE the Mibscrihers, taking into view the necessity of opening a ready modc-of access to market, for the purpose of vending our surplus produce, and procuring thereby, our necessary articles of consumption; and considering that this, can he effected but by a firm union among ourselves, do hereby unite and associate ourselves into a company for the purposes aforesaid, and ordain, and adopt, the following Constitution and Laws for our government and regulation. Article 1st. This association shall be tiyed The Jkffeusonian' Trading Comtany op Indiana, and all business in sales, purchases, bills, receipts, invoices, kc. Article 3d. The president shall hold his office dm lng good behaviour, or until requested to resign by an address of two thirds of the stockholders, and he shall not be entitled to any emoluments for bis services. Article 4th. The directors shall be clectivc annually, in manner following : The whoio number shall be elected the first year, the three who shall have the fewest number of votes, shall retire at the expiration of one year, the other thiee at the expiration of two years, when their vacancies shall be filled, annually, each succeeding year, ?nd they shall not be allowed any perquisites. Article 3th. The President and Directors shall form a boai d, assisted by the clerk, to be governod by their own bye-laws, which they shall transmit to their successors in office, to meet when and as often as they may think proper, or when called upon by two thirds of the stockholders, a majority of them w ith thn clerk, shall form a quorum to transact business, and it shall be their duty to keep a recoid of their proceedings. Article G. It shall he the dutv of the president and directors to determine at what time, it may be pre per, and to what amount shipments of produce shall he made, and to what place di-stim d. They shall also fix u determinate price on all articles paid in as stock, what species and quality may be best calculated for the market for which they may be intended. It shall also be their duty to appoint an inspector, or authorize the clei.&to insped, and receive all articles paid in as stock, receipting for the same. They shall also be empowered to prohibit or a'lmk ihk introduction of more than one fourth of each share, in all bulky articles such as corn, oats, &.c; of receiving or excluding potatoes $- turnips altogether, and it shall be their duty to publish annually, a lilt of what kind of property will generally he in demand the ensuing year. the president and directors to give public notice of the time of the delivery of each article required, at least sixty days previous. It shall also be their duty to lav the per centage on all articles received in return, to determine the quantity of goods and bums of money duQ each stockholder from the venture, to give written instructions to the 'captains and super-cargoes, respecting the disposal of the cargo, and what shall be received in return; to take sufficient security if they deem it advisable from the captains and super-cargoes for the due performance of
their duty, and to have the books and accounts always upen and subject to their inspection, Artire Stb. It shall be the duty of the Clerk to keep the books and accounts of
the company; noting all transactions, to
pass all receipts and attest alf writings, to retail and deliver over to the sharehol
ders, all goods and monies designated for
that purpose, and render an account at all times to the president and directors, and he shall be entitled to such a sum fir his services as may be agreed upon with the president and directors. Article lith. The capital 6T this company shall amount to two thousand five hundred dollars, in the first instance, consisting of one hundred shares of twenty-
five dollars each, payable in produco of
the quality and price designated in the sixth article, and the company shall" go into operation as suon as fifty shares are taken. Article 10th. Each person on payment of one dollar par money, or equivalent thereto, on each share, shall be entitled to membership, and have one vote in the election for officers for each share; not exceeding four shares and those subscribing more than four shares, shall not be entitled to more than four votes at any lime, and none but stockholders shall be eligible to office. And in case any member shall neglect or refuse lo pay in the instalment required by the president and directors, he shall forfeit the money paid in, foi the benefit of the company. Article tith. It shall lie the duty of each member to pay in as a fund for the company, one dollar par money annually, for every share he shall subscribe, as es
sential to continue him a member, and such further sums occasionally as the di
rectors may find necessary, to make

Article 12th. The first election shall
take p!ace on the first Monday of June next, at ft lionse of Benjamin Miljer In Saluda township, commencing at eleven o'clock and closing fit b o'clock, and every future annual election, on the first Monday in March, the place to be designated by the president and directors. Article lth. It shall be the duty of the president and directors to issue notice of an election to fill vacancies, by death, resignation, or otherwise, one month after such vacancy, and it shall be their duty to give notice of the annual election, at least thirty days before the time. Article 11-th. No addition, alteration, or amendment, shall be made to this constitution, unless two thirds of the stockholders concur. A tide lith. This company and association shall rxist until dissolved by three-fourths of the existing stockholders. Resolved, That books for the purpose of, obtaining subscriptions be opened and kept open at the houses of Messrs. Win. Watson, Saluda township; Colonel Samuel Smock, Republican township; Robert Simington, Madison township, and at Doctor Davidson's, in Madison, from and after the 20th day of April until the 1st Monday of June inclusive. The attention of the audience will then be parti cularly directed towards the Major's drollery, in taking off the Irish, Scotch, and Dutch dialects. The narcotic effluvia had thrown them into paroxisms of laughter, together with the temporary impotence. The pleasing scenery had thrown the learned Judge C. into fits, declaring that the first vacant wig should be placed on the Major's tfate. A new and novel song w ill be sang by the Major, in Irith style, with a Kentucky air, to the tune ot Buck and awny. Monsieur Le Parlevous, will sing a French song to the tune of them that live in "glass houses should never throw stones.''
