Larry Bair, Secretary «- Ju. 21 28 NOTICE TO BIDDERS Notice is hereby given to all interested per sons that the Board of Trustees of the Town of Milford, Kosciusko County, Indiana, will accept sealed bids for resurfacing of various streets in the Town of Milford, Indiana from the date of this notice until the hour of 6:30 p.m. on the 10th day of July, 1989 at which said day and hour the bids received will be opened and examined and the contract for such resurfacing awarded to the lowest and best bidder according to the monies available. The resurfacing work shall consist of all necessary cleaning, grading and prepara tion of the present existing streets designated for resurfacing and the fur nishing and application thereto of materials all as set forth in the specifications. Interested bidders may obtain specifications relative to such street resurfacing work
from the Clerk-Treasurer of the Town of Milford at the Milford Town Hall. Each bid shall be submitted upon the prescribed Form 96 with the Non-Collusion Affidavit executed. Each bid shall be accompanied by a Bid Bond or Certified Funds made payable to the Town of Milford in the amount equal to five percent (5%) of the maximum total bid. merger of Trustcorp into Society. The announcement came after unanimous votes for approval by the respective boards of directors of Society and Trustcorp. This combinatidn will create a major Midwest financial institution with approximately sl6 billion in assets and excellent banking franchises in Ohio, Michigan and Indiana. Trustcorp has a bank in North Webster and two in Warsaw. The announcement culminates a process begun May 10, when the board of directors of Trustcorp, Inc. unanimously approved the exploration of financial alternatives available to maximize shareholder value, including a merger or sale of part or all of its assets. This came after Trustcorp made $76.5 million in pre-tax charges against 1988 earnings which resulted in an $11.4 million loss, before federal income tax. The charges were principally related to loans and investment activities associated with certain real estate projects, particularly in the downtown Toledo area. Under the terms of the agreement, Trustcorp common shareholders will receive .75 of a Society Corporation common share for each share of Trustcorp Common Stock. Based upon the closing price of Society common shares on Friday, June 16, the combined company will have a market value of $1.4 billion. In addition, Trustcorp has granted to Society an option to purchase authorized, but unissued, shares of Trustcorp common stock equal to 24.9 percent of the Trustcorp
