McPherson, who will continue to advise Dana, cited other board commitments which created a technical conflict under a federal law dealing with director interlocks among financial institutions. Dana became subject to the law as a result of the recent acquisition of an Ohio savings and loan corporation. Dana Chairman Gerry Mitchells said. “Ren is caught in a bureaucratic conflict. There is no conflict of interest at all between his directorships at Dana, with its local savings and loan company, and a large international bank. They don’t compete at all. We don’t think the law intended that a company like Dana be deprived of the service of outstanding directors like Ren because of a minor technicality.” Dana President Stan Gustafson said, “The acquisition of our savings and loan company was a good move in support of the housing industry, which certainly needs help today. Losing Ren, and the inability to recruit other Dana directors who may be subject to the technical provisions of the Interlocks Act. is too steep a price to pay. The law should be changed and we are supporting efforts to do that. ” McPherson served 27 years with Dana, retiring as chairman in 1980 to become dean of the graduate school of business at Stanford University, a post he now bolds
