FARMERS AND MECHANICS' COOPERATIVE ASSOCIATION.
.... The Farmers and Mechanics of this county are about forming a co-operatire association, and have already made considerable progress in the way of otot»'"aing subscriptions of stock. The ob*'oCts of the association are fully set fo^'a in the articles below, which WQ J*.AV0 been solicited to publish:
ARTICLE 1.—This Association Bhall be called "The Jj'arrners' and Mechanics' Cooperative Association.
ARTICLE 2.—The object of this Association shall be to furnish to its members directly, and to other persons, incidentally, unadulterated groceries and provisions, and other necessaries of ordinary use in families, and on farms, and in work-shops, at prices and rates, and on terms in the following articles rgentioned, and reserving therefrom such dividends as the business will produce for the use of the members, and a certain amount to arise from profits alone for the destitute and needy and worthy members of the Association, as in the following Articles set forth.
ARTICLE 3.—The capital stock of this Association shall be fifty thousand dollars and shall be divided into shares of twenty-five dollars each.
ARTICLE 4.—Any pe/son, male or female, may become a member of thi3 Association by subf.cribing to these Articles, and paying such it mount ia hand as thca« Articles shall require, and such other portions of the same at such times as these Articles Khali designate.
ARTICLE 5.—Tbis Association shall be managed and controlled by a Board of Directors, Jive in number, elected by the members. The first election to be hold when two hundred and forty shares of Itock has been subscribed, and annually thereafter on the first Tuesday in March, which election and all elections shall b» by ballot, and at said first election subscribers to these articles shall be entitled to one vote for one share on which they have paid twelve dollars and fifty cams and tit said election, and all subsequent elections, each member shall have one vote for each share so paid on and one vote for each additional two shares so paid on, provided that no member shall have more than four votes in any event, nor thall any member vote by proxy.
ARTICLE 6.—At said first wlection and annually thereafter on the said first Tuesday in March, a Treasurer shall be elected by the members of the Association, who 6hall givo bond with three good free, holder 6«curities conditioned for the faithful discharge ol his duties as the Treasurer of this Association and in double the amount that will probably come in his handejas such Treasurer during the year, and he shall hold the office one year and shall perform Buch duties as these articles shall prescribe or said Directors shall order, not inconsistent herewith.
ARTICLE 7.—The Board of Directors shall elect one from their number who shall be President of the Board, and such President, under the direction of said Board, shall alone have power to oigu the official name of the Association to any agreement, contract or officicial act of this Association, which signature shall in all cases be attested by the name of the Secretary of the Board who shall be elected by the members of said Board, and shall also be attested by the seal of the Association, to be provided by said Board, which thall have an engraved device capablo of being impressed on paper, and shall CWTftlii the corporate name of this Association on the margin encircling clasped bunds, which seal shall be in the custody, of the Secretary. Such Board shall irioet at least onco ench month for the transaction of business of the Association,shall be paid.by the hour, to in* elude the accessary time of travel from and to their places of residence but no member of said board shall bo paid for such service to exceed tbe sum of sixty dollars iu one year. And said Board shull keep a record of all their business in a book provided for that purpose, which record shall at each meeting be signed by the President and attested by the Secretary which ,record shall at all times be subject to the inspection of the stockholders-
ARTICLE 8. It shall be the duty of the Board of Directors to procure a suitable roooa.or rooms within the corporate limits of the city, of Terrs llaute and employ a competent person or persons, and invest the money paid in on stock subscribed so soon as may be after their election in such articles as are pure and unadulterXated, and usually kept in a first-elass grocery and provision store in variety in
Terre Haute, also farming implements in variety of such as are of general use, and a limited stock of hardware of the things of general use and demand among farmers and mechanics, provided, however, that the principal investment for the first year shall be the articles in variety usually kept in a retail grocery and provision store and 6aid Directors shall not purchase or contract beyond the amount of capital stock subscribed. Which said when so purchased and delivered shall bo placed in said room or rooms so procured and in the custody of said salesman or salesmen for Eale for cash to all customers at the ordinary selling price in the quantities purchased which said salesman or salesmen shall, under tbe direction of said Board keep, an accurate account of all sales, and a correct invoice of all articles delivered to him or them, which invoice and sale- shall be compared and examined monthly by the Board of Directors and said Board of Directors shall cause a correct invoice of the stock to be taken semiannually and shall cause a full and detailed statement of the conditions of business to be made and entered on their record semiannually which shall be subject to the inspecture of each stockholder, which said statementshall be attested by the oath of the President and Secretary of she board.
ART. 9—It shall be the duty of the borird directors immediately aftor making tho semiannual statements to ascertain as nearly ac may be the amount of tho purchase of each member at said store in the 6i months past and after paying all eipenses of every kind incurred as shown by said statement, to divido the profits of such business as follow, towit, in cash, ono half of the same on the stock subscribed and paid in, counting stock subscribed sinca last invoiced ana paid in, in proportion to the number of whole months, and no dividend shall bo on less than one whole month, the other half of said profits after deducting one tenth of one per rent, shall be divided among the members in proportion to the amount of purchases made by each since the last invoice, tho same to be placed on the books of the association as a credit to such membors and paid in such article!1 as such members may desire(at usual prices) or may be on hand in said store, when desired tbe said one tenth of one per cent, to be left in e»id store and payable in groceries and pro-

ARTICLE 10TH.—Fruit and vegetables be&old at said places of business fc.r members cn commission at retail for ten peT cent, and at wholesale so far aa tfcey can be, by shipment or otherwise for five par cent.
ARTICLE 11TH.—The board of directors may make such by laws as will facilitate their duties and forward and protect the interest of the association not inconsistent herewith, but these articles shall not be changed except at a meeting of the stockholders at which a majority of the stockholders are present.
ARTTC5 12.—The board of directors may call a meeting of the stockholders at any time by giving ten days notice, and any ten members of the association may call a meeting of the stockholder* without the concurrence of the board of

^'eetings of tbe Association, and in his absence a President pro ten may be elected, and the Secretary of the Board shall keep a record of such meetings and the record of such meeting shall be open to the inspection of the Board of Directors, and the record of the Board of Directors shall be present at all meetings of the stockholders.
ARTICLE 14.—Each person subscribing to the capital stock of this Association shall pay into the bands of the temporary Treasurer, to be elected by the subscribers before regular organization, after five names are appended to the articles,the sum of 4 per cent, of the stock subscribed and the balance of one half of the stock subscribed before voting at the first meeting for organization, and any person failing to pay the first or second amount required by the association, or any assessment shall forfeit all sums paid, provided that after tbe payment of the one-half of said stock there shall be thirty days notice given to each member before day of payment.
And forfeiture is declared when proof of notice shall be made, and no member shall retire from the association by tbe withdrawal of hia stock without tbe consent of the stockholders and Puch proportion of bis capital slock may bn retained aa will insure th* payment of all indebtedness on bis pftrt, and no enpilal stock shall be withdrawn except after «ix months from tbe time of laavo is given.
ARTICLE15TH. Stock may bo assigned or tranafered to parsons not members by assignment on the books of the association and such persons shall hold the same subject to all tho rightsjand liabilities of the assignor.
ARTICLE 16TH.The undersigned subscribers to these articles promise to pay to the temporary treasurer in theso article provided for go soon as two hundred and forty Shares are subscribed to theee ar~ tides, for the use of tho stock holders and for the purpose in these articles mentioned ono halt of the stock by us severably subscribed. And we do agree that we will and do hereby waivo all irregularity in these proceedings prior to payment and organization, and that tho said one half of said stock and all other amounts subscribed by us severally may be collected without relief from valuation or appraise* ment laws, and in the name of the tern* porary treasurer herein prnvied for before organization and in the name of the association afu-r organization.
