Editor of the Sentinel: At you have Wen proper to criticise my construction the free banking law. and my conduct in relation to the banks, 1 hope 1 siiall not be presuming too much upon your courtesy to ask a brie! space in yonrcolumna for reply.
The charges sre, that 1 permitted banks to be established without requiring fifty thousand dollars ot stock to be deposited with me. This is true, and for ihe simple reason that the law does not in any place require such a deposit but on the contrary expressly provides: **SBC. 6. Whenever any person or asso elation of persons formed for the purpoae of banking under this set, rhall legally transfer to the auditor any portion of the stocks or bonds herein after specified, such person or a*sooiatiori* of persons shall be entitled to receive from the auditor an equal amount of such circulation notes of different denotiii nationa, registered and countersigned aforesaid, to be issued by them in the usual course of buisness, as money.*'
What do the words *•any portion" meant Have they any signification, or sre they mere surplusage or words thrown in to de ceive the officer and the banker? 1 under stood them to mean precisely as they read gave my opinion and actud accordingly

It is true Sec. 17 provides that the sggre gate amonnt of the capital stock of any such association shall not be less than fifty thou saud dollars. But do the stock* deposited constitute the only onpiial? It is a clear evasion of the law. aud should not be tolerated by the Auditor Major Dunti, the present Auditor, gives different, snd we think a right construction to the law."
Permit me to say that the Gramercy Bank and the Bank of North America were estabhhed uuder my supervision and the State Stock Security Bunk nt Newport, the "five thousand dollar Imttk," and the Merchants Batik under that of "Major Pur,^, the ptesent Auditor." I cannot say whether he will feel complimented by your si^otures or not. His first opinions and .lis practice evidontly coincided with mine, and think were correct.

ana have wholly disregarded this positive provision of the act, and that too by the sanction of Dr. Kllis, the late Auditor of State, who signed the bill* and delivered them to the banks, knowing that theywere engraved for the signature of the President only, and no arrangement what ever made for the signature ot a Cashier* These are illegal
Ight such banks were established—-five rcoeived their notes from the late Auditor, and three from Major Dunn, the present Auditor, and we were, therefore, either both right or both wrong. That we eomourred in the opinion, is evidetiey that then* was some foundation foi its correctness. It may, also, be added, that the present Auditor and Tresurehnve both, within the last week, is sued instructions to the county revenue officers to receive the bills of all the free banta of the State, without exception, for for public-dues. L)d they authorise the reception of "illegal notes?" And wilt the present auditor assume the responsibility not only to apeud the further itsue of these "illegal notes," but to wtud up the eight banks that have issued then^ some with his approbation, and some with mine! Such is certainly his duty if he coincides with you la opinion. I give it, as my opinion, that ih« will do no such thing.
The custody of the pfatts, as you say, belongs to the auditor. When the printing of jtottti was finished, had them deposit under seal in the safe of Col. Allen May, Agent of State, at New York, as hones: a man as God ever made. 1 considered them as much in my possession or custody as if they were tn a safe in Indianapolis, and evety man who knows Col. May would so regard it
