Shearon, Benjamin Harris, Stephen Coffin, Moses Davidson, Ellis Bond, William Brooks, James Thomas, Jesse Starr, Cornelius RatlifT, William A. Bickle, Levinus King and Thomas II. Cook and their successors in oflce, duly elected as hereinafter directed ere hereby constituted a bodj' corporate and politic, to be known by the name and style of the "Richmond and Williamsburg Turnpike company" fc by such name shall be able and 'capable in law A equity, to sue and bo sued. plead and be impleaded, defend and be defended, answer and '-be answered unto, in any and all courts of justice whatever, to make and use a common seal, and the same to alter, change or renew at pleasure, and shall be able and capable at law to make contracts and enforce the same, and to make and enforce the necessary by-laws and rules, to enable them to car ry into effect the urovisious of this act and tho objects contemplated by the same, not inconsistent-with the laws and constitution of the State of Indiana. Sac. 1L And be it further enacted. rectors toteceive subscriptions ill mo'neyY or approved work; if in work, to be done at sach times As the contractor or "contratctors having the construction of said road may require, and wages to le agreed on by the contractors and stockholders, and if such agreement cannot be effected, the stock to be collected in money, aud a receipt from the contractor to the company, received through said stockholder, shall be a sufficient voucher that said stock is paid. Sac. H. It shall be lawful for all persons of lawful age, for the agent of auy corporate body, for the agent of any county, for the agent of any state, or the IT. States, on behalf of. the same." to subscrifK for any amount of capital stock, and the books shall be kept open for such space of time and at such places as the corporation shall choose, and may be reopened at any time; and they may, by an agent, offer for sale in this or any other State, any amount of stock, upon such terms and conditions as may be thought advisable; and they shall have power, on their own credit, to borrow money on such terms as may be agreed on by the parties. - Sbo. 0. It shall be lawful for said directors to organize at any (time) after the passage of this act, and the said road must be completed in three years, or this charter will be forfeited. Sec. 10. The corporation by their agents shall have full power from time to time, to examine, survey and locate the route for a turnpike road commencing at Williamsburg and running on a convenient and practicable route by the way of Dover, thence on by Barnabas Lamb's, and by, through or in the vicinity of the farm of Walter Lcgg, to a suitable point - '"jit, on the Nfwport Roati which runs North from the National Roi from the National Road, bv Robert Morrisson's farm, to form ajunction on said Newport Road, with a road projected by a company popularly known as the 'Spring Foundry Compan'," leading from the Spring Foundry by Carnelius Itatlifrs farm to said Newport Road. But if the said Spring Foundry road should not be made, or if the said corporation should deem it to be for their benefit, they are authorized to extend said road from said point on said New irt road to a point on the National road. West of the National Bridge over White Water at Richmond, so as to cross said White Water on said bridge, said road shall be constructed in accordance with the plans and specifications adopted by said directors, with the right to alter and vary the same so as to secure a good ordinary turnpike. Sac. 11. It shall be the duty of the directors, at their first meeting, or within three months thereafter, to call, by advertisements, for such portions of the first year's instalment on the capital stock, as they may deem proper. Skc. 12. Certificates of stock shall be given by the stockholders, which shall be evidence of the stoc k held; they shall be signed by the President, countersigned by the clerk; the stock shall be transferable only on the books of the corporation personally, or by an agent, or attorney, or by the administrator, executor, trustee, or guardian; hut such stock shall at all times be holden by tne corporation, anj" dues frrm the holder thereof to the corporation, for any sum that may hereafter lcorae due on a contract made prior to such transfer. Sac. l.i. The directors shall advertise a meeting of the stockholders within three months after their first meeting to elect six directors to act as such for the space of one year thereafter, and uatil their successors are elected aiwl qualified; and in all elections for directors a majority of the number who happen obe present, shall be legally a majority and qualified to elect; and the directors shall have the power of declaring the seat of any director vacant who is absent from two successive meetings or the board and fill the same as before provided. Sac. 14. All elections after the first, shall bebeld on the first Monday of April, annually ; caeb person owning stock in said company shall be allow ed to give one vote for each share so owned, (for one month previous to such election:) owners of stock may vote by proxy or by legal representatives. Two stockholders, who are not directors, shall be appointed by the board previous to each election, who shall act as judges of such election ; give certificates to those who receive the highest number of votes, in forming them f tlwir election ; and it shall be the duty of the directors elect to meet and organize within three days after such an election; but if circumstances should transpire to prevent such an elec tion, on the day appointed, the directors shall appoint another day for that purpose. Sac. 15. Va LU WUllUllVIl VA I said road ; but no such material shall be taken away from any land without the consent of the owner thereof, until the rate of compensation shall be ascertained and paid or secured to the owner. Sac. 18. It shall be lawful for the ' corporation either before or alter the location of any section of said road, to obtain from the person or persons through - , . grant, or bequests, land, money, labor. stone, carvel, or other matcials, for the benefit of said corporation ; and all such gifts, grants, donations, relinquish men ts. or bequests, made and entered in writing, by any person or persons capable in law to contract, made in consideration of each location and for the benefit of the corporation, shall be binding and obligatoryrani the corporation may have their action at law or equity in any "court of competent jurisdiction,'' to compel the observance of the same; frovided, that all such contracts, donations, ' relinquishment. Sec. 18. That if it shall be necessary, and advantageous to the location, aud construction of said road, the corpora- , tion shall have the right to lay the same i along and upon any state or county j road: Provided, however, before such 1 location shall be made, the corporation . shall make application to the county commissioners of the proper county, for such right, and such coimnissioners are j hereby vested with power to grant the, same, by an order entered on their re- ; cords. Skc. 19. That when said corporation 1 shall have procured the right?"f way, as herein provided ; they shall have the exclusive use of sneh land, and shall have the sole right of occupancy in the same, j and no person, body politic, or corporate, shall in any way interfere, molest, disturb, or injure any of the - rights and: privileges hereby granted. Skc. 20. The corporation may charge . and recover, by due course of law, two per cent, per month for any money not paid in on subscription to the capital stock, together with cos-Is of suit, when ; culled ou as prescribed in the fifth section of this act. The corporation may charge j and recover such toll from all persons , travelling on said road, for the privilege j of driving all manner of live stock,"": waggons, and teams, pleasure carriages,"' sleighs, dee. or any part of it as shall be for the interest of the company, and the j same to charge lower, or raise at pleasure : '. The corporation may make dividends at such times as the Hoard of j Directors may deem proper and expedient. Sec. 23. It shall be the duty of the directors to cause a full statement of the j affairs of the company, to be made and exhibited to the stockholders at-their annual elections, or at any other general j meeting of the stockholders. -J Stc. 24. That if any person or per- i sons shall wilfully and knowingly injure j or obstruct said road, or any part thereof, j or shall break, destroy, or deface any i work, edifice, or toll gate belonging theretO, Slich person Or persons, SO OtiC-ruling shall pay to the corporation three times the amount of d.imsgrs, actually done, with the costs of suit, to be recovered by th corporation before auy court having coiitpetent jurisdiction. Sec. 2o. may use any portion of said road lying between gates, even though such person or persons may not pass through any gate; and when any person, uses said road between gates and refuses to pay therefor after demand made by asy auth-
orized agent of said company, saidxompany may bring suit therefor in an action of assurapset before any Justice of the Peace in Wayne County, and .recover said toll, and three-fold the amount thereof in damages against said peason. . . See. 2. All elections for the election of a Board of Directors shall hereafter be held on the second Monday of January of each and every year, and the present Board cf Directors shall continue in office until the second Monday in January, 15:2, and perform all the duties of such Board of Directors as fully and to all intents and purposes as if elected at the time specified in said charter. Sec. 3. The said company shall have power to mark out. locate and construct a tumpike road, commencing at or near a point on said road where the road from Richmond to Washington in Wayne Co. leaves said road, and from theuce to a point on the Centreville and Williamsburg Tumpike at or near Canady's corner, and for this purpose shall exercise all the lights and privileges enjoyed by said company in the, Charter to which this is amendment.
