Proposed Contract for the Allegheny Natural Gas Company
LEGAL NOTICE. The citizens and taxpayers of the City of Richmond, in the County of Wayne and State of Indiana, are hereby notified that the Board of Public Works of said City, at a regular meeting of said Board held on Thursday, July 3rd, 1913, entered an order expressing its willingness arid desire to enter into a contract with the Alleghany Gas Company, a corporation organized under and pursuant to the laws of the State of Indiana. 8aid Board has fixed Monday, July 21st, 1913 at nine o'clock, A. M. at its office in the City building in aid City, as the time and place that a public hearing Bhall be had to finally consider such contract, at which time and place any taxpayer of su-jh City may appear and file protest against any or all of the provisions of said contract. The exact form, as determined by said Board, in which such contract is to be finally adopted being as follows, to-wit: CONTRACT. THIS. CONTRACT AND AGREEMENT, made and entered into this day of July, 1913, by and between the City of Richmond, Indiana, by its Board of Public Works, hereinafter designated as said City, and the Allegheny Gas Company, a corporation organized under and pursuant to the laws of the State of Indiana, hereinafter designated as said Company WITNESSETH AS FOLLOWS, TO-WIT: Section I. That said Company be and It is hereby granted the right, privilege and authority, subject to the terms and conditions hereinafter stated and not otherwise, to lay, place, construct, operate, maintain, replace, repair and remove a system of gas mains, pipes and all other necessary apparatus and appliances in, under, along and across such streets, alleys, lanes, sidewalks, highways, bridges and public grounds, within said City, as the Board of Public Works of said, or other legally constituted authority of said City, may designate and determine, and with, by and through such mains, pipes, apparatus and appliances to convey, distribute, furnish and supply natural gas, and to sell the same to said City and to all the inhabitants thereof; , and said Company, subject to the approval of the Board of Public Works of said City, or other legally constituted authority thereof, Is also hereby granted the right, privilege and authority to lay, place, construct, operate, maintain, replace, repair and remove such additional mains, pipes and extensions thereof as may be necessary and proper from time to time for the purpose of conveying, distributing, furnishing and selling natural gas to all the inhabitants of said City. Said Company promises and agrees that such gas shall be furnished and supplied to said City through a branch pipe line which shall not be ljssthan ejgLAjj) inches in diameter. Said company shall, before it commences to lay, place or construct any gas main, pipe, apparatus or appliance in, under, along or across any street, alley, lane, sidewalk, highway, "bridge or public ground within said City, make, furnish and deliver to the Board of Pubjic Works of said City, or other legally .constituted authority thereof, a map or plat of said City, which shall plainly indicate and show the exact location and the size and di mensions of each gas main, pipe, apparatus and appliance which it proposes to lay, place or construct within said City; and a like map or plat shall be furnished to said Board of Public Works prior to making any additions ,or extensions to such plant or system, a'nd said Company shall not proceed or commence said work until the said Board of Public Works of said City shall have designated and approved in writing and proper record thereof duly made the streets, alleys, avenues, lanes, sidewalks, highways, bridges or public grounds, in, under, along or across which said Company shall lay its said mains or pipes. Section II. Said Company is also hereby granted the right, privilege and authority to lease or purchase, from any person or corporation owning the same. In whole or in part, any and all mains, pipes and other apparatus and appliances which will be used and useful In conveying, distributing and furnishing natural gas to said City and to all the Inhabitants thereof; and said Company shall have the right, privilege and authority to use any such mains, pipes and other apparatus and appliances, so leased or purchased, for the conveyance, distribution and furnishing of natural gas within and to said City and to the inhabitants thereof. And said Company shall, at the time of any such lease or purchase, furnish and deliver to the Board of Public Works of said City, or other legally constituted authority thereof, a full, true and complete copy in writing of all the terms and conditions, provisions and stipulations of any luch lease, contract or purchase or jontract of sale, together with a full, true and complete statement of the sonsideratlon paid or to be paid and the time of such payment, all of which shall be signed by said Company and the other party to said lease or sale. And said Company shall not purchase, in whole nor in part, any of the gas mains, pipes, apparatus or appliances of any kind or character whatloever, within said City, owned by Ihe Richmond Light, Heat and Power
wheat in the county 80v,000 bushels of the grain will be reaped. The average yield per acre is about 15 bushels, but with the estimated yield this season comes an increase of 5 bushels, or an average of 20 bushels.
MEETS TONIGHT (Palladium Special) MILTON, Ind., July 8. The prayer meeting at the Methodist church will be held Tuesday evening instead of the regular meeting night, because of the Passion play lecture, Thursday evening. i Company, or any of its successors or assigns, unless nor until there is filed with the Board of Public Works of said City, or other legally constituted authority thereof, a full, true, comi plete and itemized statement of all the property of said Power Company to be purchased, together with the actual value thereof. Section III. j Said Company shall have the right and authority to lease, sell, assign, or transfer this contract, grant or franj chise, and any of its rights, privileges or authority thereunder, to any person, firm or corporation. Section IV. j Said Company shall lay, plac.2, construct and maintain its said gas mains and pipes to the property line of the consumer in alleys and to a point immediately inside of the curb in streets and shall, at or near sich property line in alleys and immediately inside of the curb line in streets, place, construct and maintain a curb . box and curb cock flush with the j surface of the ground and which can I be operated from the surface of the ground so aB to stop, when necessary, all flow or gas in such pipe; and the consumer shall furnish, construct and maintain the service pipe from such 'curb box to where such gas is to be consumed on his premises. ) Section V. j Street mains or pipes shall be extended and all service pipes in streets, alleys or public thoroughfares shall be laid and constructed by said Company whenever ordered by the Board ! of Public Works of said City, or other ! legally constituted authority thereof; but no extensions of street mains or pipes shall be ordered unless one consumer Is assured for each one hundred (100) feet, on the average, of such extension. ! Section VI. ! The construction, laying, repairing, replacing, removing or maintaining of the gas mains, pipes, apparatus and appliances of said Company within said City shall be done under the direction and supervision of the City : Civil Engineer of said City, within the terms of this contract, and said Company, shall, immediately at its own cost restore to their original condition as nearly as may be possible, and shall so keep and maintain the same thereafter for the period of one year in good and proper repair at its own cost, all of the parts of streets, alleys, lanes, avenues, sidewalks, highways, bridges and public grounds within said City, which are in any manner disturbed, in laying, constructing, maintaining, repairing or removing mains, pipes and other apparatus or appliances therein, j And if said Company shall fail to repair, or to keep In repair, such parts of streets, alleys, lanes, avenues, sidewalks, highways, bridges and public grounds, or any of them, said City ' may cause any and all such repairs to be made, and the cost thereof shall be and constitute a Just charge against said Company and a first and ; prior line, superior to all other liens, : upon all the property of said Company within said City, and the cost of j such repairs may be retained out of ; any moneys then due or which therei after becomes due from said City to said Company, or such lien may be enforced by suit in court. Section VII. Said Company promises and agrees to save said City free and harmless from any and all liability, loss or damI age by reason of any carelessness, I negligence or unskillfulness of every j kind or character whatsoever upon the part of said Company or any of its ! officers, agents, servants, or employes, in the building, construction, repairj Ing, maintaining, removing or operati ion of any and all gas mains, pipes, apparatus or other appliances. And if any judgment be obtained against said j City in any court of competent jurls- ! diction, by any person, firm, company j or corporation, for any of said causes. ! such judgment shall, as between said City and said Company, be deemed and held conclusive as to the amount, extent and fact of such liability in each particular case, and such judgments shall be and constitute a just charge against said Company in favor of said City, and a first and prior lien in faj vor of said city, superior to all other I liens of every kind and character j whatsover and whensoever obtained, ! upon any and all of the property, rights, credits and choses in action Qf said Company within said City; provided, notice of the pendency of ; any such action against said City shall J be given to said Company by said ! City; and a notice in writing signed by the Clerk of said City, stating the parties to such action, the court wherein pending, and when said City is re quired to answer theroto, delivered to j the president, superintendent or other officer or agent in charge of the business of said Company in said City, shall be deemed sufficient notice under this section, and said Company ; shall have the right, by and with the j assistance of the City Attorney of said j City, to defend any such action. And if in any such action against said City, it shall therein be shown or proven that said Company, its officers, agents, servants or employes was in no wise guilty of carelessness, negligence or unskillfulness, and that said City was guilty of carelessness, negligence or unskillfulness, then and in that event said City shall reimburse said Company for any and all costs or expenses sustained therein, except attorneys fees. sent and approval of the Board of Public Works of said City, or other legally constituted authority thereof, shall have the right, privilege and authority to make from time to time, and to enforce, all reasonable and necessary rules and regulations relating and pertaining to the distribution, furnishing, supplying and selling of natural gas to said City and to the inhabitants thereof. The rules and regulations first promulgated by said Company shall be submitted to and approved by said Board prior to the time said Company is required to file the bond hereinafter provided for. Section IX. Said City shall have the right and privilege, at any time, subject to the approval of the Public Service Commission or Indiana, tc purchase from said Company all of the property owned by it within said City which is used and useful in the conveyance, distribution, supplying and furnishing of natural gas to said City and to the inhabitants thereof. Section X. Said Company shall not charge, demand, receive, nor accept, for gas furnished under this contract and any ordinance approving the same, through any one meter and to any one consumer, a rate to exceed the sum of fifty ($ .50) cents per one thousand cubic feet for the first five thousand (5000) cubic feet used thereof per month, subject however, to a discount of ten cents per thousand (1000) cubic feet per month to each consumer who pays or makes tender of payment thereof on or before the 10th day of each calendar month for the gas consumed by him during the preceedlng calendar month; forty-five ($.45) cents per one thousand cubic feet for the next ninety-five thousand (95,000) cubic feet of gas used per month, through any one meter and by any one consumer, subject to a discount of ten cents per thousand (1000) cubic feet to each consumer who pays or makes tender of payment thereof on or before the 10th day of each calendar' month for gas consumed by him during the preceding calendar month; and thirty ($.30) cents net per thousand (1000) cubic feet for all gas consumed through any one meter and by any one consumer in excess of one hundred thousand (100,000) cubic feet per month; provided, however, that a minimum charge of fifty ($.50) cents per month may be made by said Company against each consumer for readiness to serve. All gas herein mentioned shall not be adulterated, and shall be measured by meter, and all meters shall be fur nished, installed, . regulated, repaired and maintained by said Company fre of charge, and said Company is hereby given the right, authority and power to go on the premises of the consumer at any and all reasonable times for the purpose of inspecting, regulating and reading said meter. Every consumer of gas furnished by said Company shall have the right at any time to have the accuracy of his meter tested by the City Civil Engineer, or by such other competent person as the Board of Public Works of said City, or other legally constituted authority may designate, and if upon such test any such meter is found to measure accurately, then such consumer shall pay to the City Controller of said City, or other legally constituted authority, the sum of one $1.00) dollar as the full cost of such test; and if such meter is found to measure Inaccurately, said Company shall pay to the City Controller of said City, or other legally constituted authority, the sum of one ($1.00) dollar as the full cost of such test; but for the purpose of this contract a meter registering between three per cent, fast and three per cent, slow shall be treated and considered as one registering correctly the amount of ! gas passing through it. j Section XI. I Said Company shall, while furni-sh-j ing gas in said City, keep and maintain ( an office therein for the purpose of receiving the payment of all bill or accounts owing it for gas consumed or for readiness to serve. I Section XII. j No excavation in any street, alley, avenue, highway or public thoroughfare of said City shall be made at any one time of greater extent or length I than two squares thereof, unless the J consent of the City Civil Engineer of I said City shall first be obtained therefor. ' And before making any excavation : in any street, alley, avenue, highway or public thoroughfare in said City, ifor any purpose, said Company shall i give at least twenty-four (24) hours j written notice thereof to the City Civil ' Engineer of said City, which notice shall state definitely where such excavation is proposed to be made, and the purpose and extent thereof, except in case of an emergency but in such event said Company shall immediately notify said City Civil Engineer. Section XIII. j Said City reserves the right to use j all parts of its streets, alleys, lanes, I sidewalks, avenues, public highways. , bridges and public grounds upon and i beneath the surface thereof, cr otherI wise, for ariy and all lawful purposes; and at any time that said City, by its lawful authorities shall determine to make or cause to be made any public improvement and such authorities of said City shall determine that anything connected with said Company's system of ga6 mains, pipes, apparatus or appliances, within said City, is in

the way of such Improvement, said ( City, by its lawful authorities, snail have the power to order any such thing in the way of any such improvement to be removed or changed by said Company at its own expense, and upon the failure of said Company to make such removal or change, or to cause the same to be promptly made, said City, by its lawful authorities, may make such necessary removal or change, or cause the same to be made, and the necessary costs thereof shall be a charge against said Company and a first and prior lien against any and all of its property within said City. And said City shall in no event be liable to said Company for any damages resulting from the exercise of any of the rights herein reserved. Section XIV. Neither said Company nor any of its officers, agents, servants or employes, shall, in any manner or to any extent, whatsoever, displace, disturb, deface, injure or endanger any sewer, drain or gutter in said city, or any other public work, or interfere with or retard the flow of any surface water without the consent of the Board of Public Works of said City, or other legally constituted authority thereof; or displace, disturb, deface, injure, or endanger any of the property of any other public utility within said City, without the written consent of such other utility, and said Company shall be and become liable and shall pay to said City, or to such other public utility, the necessary cost of repair necessitated by any such interference, injury or disturbance, to their respective property. Secton XV. All the rights, privileges and authority herein granted to said Company shall be indeterminate. Section XVI. All of the terms, conditions, provisions, stipulations and limitations herein contained shall be binding and effective upon all the successors and assigns of said Company by whatsoever method or in whatsoever manner the same are acquired by any such successor or assignee. Section XVII. If said Company shall, for any reason, except from unavoidable and irreparable casualty, or the failure of natural gas, fail, neglect or refuse to furnish for a continuous period or sixty (60) days, an adequate and sufficient supply of such gas to said City and to the Inhabitants thereof who are provided with service therefor, then and in any such event the Common Council of said City, or other such legally constituted authority thereof, shall have the right by ordinance to declare all the rights of said Company under this contract forfeited. Section XVIII.Said Company expressly promises and agrees that it will commence the actual physical building and construction of such plant and system of mains and pipes, apparatus and other necessary appliances as herein contemplated, within said City, as soon as the necessary material can be obtained after the date upon which this contract is approved, ratified and confirm-, ed by the Common Council of said City and by the Public Utilities Commission of Indiana, and the filing and approval of the bond hereinafter provided for; and that it will prosecute all of such construction work continuously thereafter as rapidly as possible, and will finally complete said plant not later than the first day of July, 1914, so that at that time said City and all of the inhabitants thereof, as herein provided, will be furnished and supplied such gas to their respective premises; that it will make, execute and deliver to said City, a proper bond within five (5) days from the time this contract is approved, ratified and confirmed by the Common Council of said City and the Public Utilities Commission of Indiana, in the penal sum of Twenty-five Thousand ($25,000.00) dollars, conditioned that it will do and perform all of the acts and things herein mentioned and that it will carry into effect each and all of the terms, conditions, provisions and stipulations herein set forth upon its part to be performed and within the time herein named, and that it will not do any of those things herein forbidden which bond shall be and remain in full force and effect until the first day of July, 1914, and the same shall be executed to the approval and satis-1 faction of such Board of Public Works, and upon the failure of said j Company to execute and deliver such I bond within said time this contract ! shall be null and void and of no force whatever. Section XIX. All the rights, privileges and authority herein granted to said Company are so granted under and pursuant to the "Shively-Spencer Utility Commission Act," and all other existing laws of the State of Indiana, and such rights, privileges and authority are accepted by said Company subject to such Act and such other laws, and also subject to any further amendments, additions to, or modifications of said Act. IN WITNESS WHEREOF, Said City of Richmond, Indiana, by its Board of Public Works and said Allegheny Gas Company by its proper officers, who have been duly authorized, and attested by its corporate seal, have hereunto set their hands this day of July. 1913.
