FRANCHISE EXPERT UPHOLDS OBJECTION Believes that No Company Will Bid with Five Year Clause Retained.

fBAVIS CHANGES VIEW fSays that Assignable Feature in Contract Ought Not Be Insisted On. Delos F. Wilcox, consulting f ranchise expert, with offices in New York City, In a reply to a communication of Alfred Bavis, this city, regarding the purchasing clause in the water works contract, indicates that it will be difficult to ind companies that will bid on the plans and specifications that contain the five year purchasing clause. Wilcox is author of "Municipal Franchises, an authoritative work. Replying to an inquiry of Mr. Bavis regarding the purchasing clause Mr. Wilcox says: "In regard to the assignability of the option, I can readily see how a company would not be likely to accept that clause, unless there is a provision for a certain bonus in excess of the purchasing price to the city in case the option is assigned to another company." ' Explains Stand. Mr. Bavis addressed the following communication anent his stand on the question to The Palladium: The Palladium: As a result of the opposition offered to the clause of the water works proposal, authorizing the assigning of the option to outside parties at the expiration of five years if deemed advisable. and having publicly suggested the adoption-of such means to insure obedience to the conditions of the franchise, I felt, possibly, such a restriction might be unjust, and in order to justify my suggestion I wrote to Delos F. Wilcox Ph. D. chief of the Bureau of Franchises of the Public Service Commission for the first district of New York, and the author of "Municipal Franchises, in two volumes, who I conFider the greatest authority on municipal franchises. As a copy of my letter to him, hereto attached, will show, I put the situation before him and asked his opinion regarding the justice of the clause. Mr. Wilcox's reply, also hereto attached, leads me, in fairness to the Richmond City Water Works, to say, that the retention of the assignable feature ought not to be insisted on. Yours truly A. Bavis. Text of Bavis' Letter. The text of the letter of Mr. Bavis to Mr. Wilcox follows: Delos Wilcox Esq. New York City, N. Y. Dear Sir: Richmond, Indiana is confronted with a franchise problem .the complexity of which causes a division of sentiment as to its practicability. Preparatory to the granting of a new contract said company and an alleged competitor prepared a contract, including rates, which was found very j objectionable and rejected. Public sentiment demanded that the city through its legal department, prepare specifications as to what the city desired, among which demands, is an option to purchase, said option to be ! Should it be deemed advisable at the expiration of live years to either exercise the option by purchasing the plant, or to assign the option to other parties, the value of the plant is to be determined by the appraisal of three competent appraisers who shall have access to the company's books, which is authorized by the Indiana laws of 1911. The company in question refused to bid on the specifications, primarily on the ground that capital would not be interested to the extent of investing their money with such restrictions embodied in the contract. I am writing to ask whether such restrictions has ever come under your observation, if so, has there been any difficulty experienced in getting the project financed? I have gone through your "Municipal Franchises" and find no similar situation to the one confronting us. I am interested only as a citizen who has felt called upon to offer some opposition to the original proposals of the companies, and have offered some suggestions, which are incorporated in the present specifications, the assignable feature of the option to purchase being one, actuated solely by the knowledge that without special legislative authority, either by increasing the limit of indebtedness to which we might go, or by authority to purchase a revenue producing utility, to be operated in the interest of the city irrespective of the 2 per cent limitation, the option to purchase, held by the city, and exercised by the city only, is a farce as far as practical possibilities, inasmuch as the city cannot hope to purchase the plant within the life of the franchise, and without the assignable feature would be useless as an effective means of coercing obedience to the conditions of the franchise I should be glad if you could aid me in finding a precedence, or by giving your opinion as to the justice of our demand. No one desires to be unfair, but past experience demonstrates the importance of establishing some way of enforcing compliance to the terms of the contract. Very sincerely yours, Alfred Bavis. Reply of Wilcox. The reply of Mr. Wilcox follows: Alfred Bavis Esq. Richmond, Ind. Dear Sir: You will pardon my delay in answering your letter of the 18th inst. I ; should think that you would be able to iron out your difficulties by providing for a water contract under which the works would begin to pay for themselves at once, so that the purchase price would be decreasing while you wait In regard to the assignability of the option, I can readily see how a company would not like to accept I that clause, unless there is provision for a certain bonus in excess of the purchase price to the city in case the option is assigned to another company.
