The Republic Iron & , Steel Company, the other East Chicago member of the steel combine. Js headed by George M. Davis, has a tot.a.1 assessed valuation of 1295.375. This concern employes 700 men when working at capacity and, manufactures bar iron with an annual capacity of 85.000 tons. NEW YORK. June 2. The long awaited merger of Independent steel companies was effected yesterday, with official announcement by Thomas Chadbourne, that a plan had been Adopted by which the properties of the Inland Steel Company. Midvale Steel & Ordnance Campany and Republic Iron & Steel Company will be unified. There is a possibility tnat it will be greatly expanded by taking other companies over later. Actual merger will take the form of an absorption of the other two properties by Midvale, whose name will be changed probably to the North American Steel Company, or something similarly appropriate. This means a complete steel company with more than 5,000,000 tons ingot capacity annually, or about 10 per cent of tho country's output, and one-sixth of the Independent producers production, the United States Steel Corporation having a capacity of 22.500,000 tons annually. Finished steel capacity is about 76 per cent of Ingot. . !VO WOIID OX CAPITALIZATION' No announcement was made as to the capitalization of the now company, but on the basis of what is known tl is around 1400.000,000 in stock and at leajt J70.000,0rs in bonds. This, however, is not official, The entire transaction is to be effected through the exchange of securities although Inland teel stockholders have a chance'of getting cash for a large part of their holdings. The unified company will assume all existing obligations of the three concerns. New preterreo. and common stock will be issued in exchange for the stocks now outstanding, and all assets of the three companies ore to be owned by the unified company except the Nicetown plant (the armor making ordnance and forging plant) of the Midvale Steel Company, which is. to be transferred to a separate company with a capital of 500,000 shares without par value. The big companies pieferred stock is to he 1100 par value, 7 per cent cumulative, redeemable at $115 and convertible for twelve years into new common at the rate of five shares common for f'our shares of preferred. The ommon stock is to be without par valne. BENEFITS TO STOCKHOLDERS How the stockholders will fare in the merger Is best presented in the following outjine of the basis on which they.wiU'particlpate: Under the plan Midvale Company stockholders are to receive 75 per cent in new common stock and 25 per cent in the stock of the company formed to take over the Nicetown plant. Republic Iron & Steel preferred stockholders are to receive dividends in 6ash up to the date when the new preferred dividend begins to accrue, and 100 per cent in new preferred stock.
