Standard Oil ef Indiana, has mado formal proposal to stockholders of Midwest Krflnins company to pxchangf trierr stock fr Standard in the ration of two shares of the latter for one share of Midwest. It has been assumed that this offer would be made as a result of the Increasing: of Standard's capital from 1100.000,000 to JMO.nno.noo. Colonel R. W. Stewart, chairman of the Standard board, Is sending: a letter today making this offer to Midwest owners. Standard will pay 73 cents a share to Midwest stockholders in adjustment

of dividends. Stock for tranaffr must be deposited by July S with the Now York Trust Company, the First Trust and Saving Bank of Chicago or tho International Trust Company of Denver. It Is undertsood that Standard now . owns about 40 per cent of Midwest stock. Arrangements are said to have been made privately to turn over tho ni.io.Jr portion of the stock now In
