NEW YORK, Jan. 6—People who occasionally buy ' stocks or bonds have heard about the practice of “pegging” prices of those securities on the stock market. When an investment house is trying to dispose of a lot of stocks or bonds it goes into the stock exchange and “pegs” the price of the security in order to show the prospective buyer just what a good stock it is. Frequently, when all the shares have been sold and the distributor “pulls the plug,” down goes the price and the buyers hold the bag.

This was a favorite device in the grand old days of the twenties, and there is simply no estimating in billions what the losses were to innocent investors as a result. For that rcason the Stock Exchange Act, when passed; provided that the SEC could make rules about this—even forbid it altogether. But although that Act was passed more than four years ago the Commission got around to making a rule about it only | this week.

THE COMMISSION will permit distributors to peg prices of securities when they are making a first distribution or a secondary distribution. But they must give notice that' they are pegging prices and they can continue it only during the period of distribution. There are some other rules about it, chief of which) is that the prices of the stock or bond cannot be marked up and pegged at the markup price during the distribution. Commissioner Healy refused to concur in this rule. He announced that he would file a minority opinfon, and it is earnestly hoped that he will. | The Stock Exchange is .supposed to be an open market. To the extent that it is a controlled or “pegged” or juggled market it is not la free market. It is supposed | to reflect precisely the price at which a security holder can dispose of his stock in a free market.

Now when a banker offers stock|’

for sale, at what price should it be sold? At the price he demands, of course, provided people will pay it. But if they will not pay that price, then he can keep his shares or sell for less. How does the prospective buyer know what the value is? For one thing he looks at the market for the day. He sees the price is $102. He concludes that this is[2 an index of its value.

BUT SUPPOSE he knew that no one had offered more than $80 or $90 or $95 for it and that the $102 price was paid by the banker himself—that he was buying in the stocks -he was offering in order to create the impression of a price.

That would make a difference in|¥

his estimate.

Yet the SEC has adopted a rule 13 which will permit bankers to peg Ma

the prices of securities when they are offering them to the public. Far ore, it will permit them to peg thes @& secondary distribution.

legalization of what is euphemistically called stabilization. No wonder (Commissioner Healy dissented. Chairman Frank stated in a debate some, weeks ago that since he had

been chairman of the SEC not one|y,

rule had been promulgated respecting stock trading. This is a strange beginning.

Utility Shares Make Gains; Investment Demand Aids Issues.

Stocks moved irregularly today in light trading at New York. Opening irregularly lower, list steadied and some leaders moved up to small net gains. Numerous special issues were strong and several made new highs for more than a year.

Five months to the day early, Igor Stravinsky will celebrate the 100th anniversary of Peter Ilyitch Tschaikowsky’s birth tomorrow. Mr. Stravinsky will be appearing as guest conductor of the New York Philharmonic-Symphony Orchestra, and the celebration, of course, will take the form of an All-Tschaikow-sky program. Many of us probably will be wishing that the Russian composer had chosen to broadcast the all- Stravinsky program which he conducted earlier in the week. But at any rate, we may be consoled by a novelty on tomorrow’s concert.
