To the holders of CENTRAL INDIANA POWER COMPANY Seven Per Cent Cumulative Preferred Stock: You are hereby notified that a Plan and Agreement for the Readjustment of securities, consolidating Central Indiana Power Company, and the Terre Haute, Indianapolis and Eastern Traction Company with other companies into Indiana Electric Corporation dated July 1, 1927, has been completed and presented to the undersigned Committee; that the Committee has adopted and approved the same; and that it has filed copies thereof with Bankers Trust Company, the Depositary, and Union Trust Company and Fletcher Savings 8s Trust Company, Agents of the Depositary, which are available for inspection by Depositors at the offices of the Depositary and its Agents. The Plan and Agreement of Readjustment provides, subject to the approval of the Public Service Commission of Indiana, for the exchange of the preferred stock of Central Indiana Power Company, share for share for the 7% Cumulative Prior Preferred Stock of the new merged company substantially as outlined in this Committee’s previous communications to you. Arrangements have been made to furnish a substantial amount of new money to the merged corporation and, as a result of the sale of certain property formerly belonging to the Merchants Heat and Light Company of the City of Indianapolis, it has been possible to reduce the proposed bonded indebtedness of the merged company to a lower figure than was anticipated. In accordance with the terms of the Deposit Agreement, all holders of Certificates of Deposit who do not within the period of two weeks from and after the 22nd day of July, 1927, exercise their right of withdrawal upon surrender of their Certificates of Deposit to the Depositary or its Agents in transferable form will be conclusively deemed to have assented to said Plan and Agreement and to have become parties thereto. In order to enable those who have not as yet deposited their Stock to become parties to said Plan and Agreement and to participate therein, the Committee has authorized the Depositary and its Agents to accept such securities without penalty until the close of business on August 22, 1927. The Committee considers that the consolidation, under the terms and provisions of the Plan and Agreement, is favorable to your interests.
