BILL ATTACKS MERGER ORDER OF COMMISSION Petition Demands Rehearing of Alleged Illegal Consolidation. 51 REASONS ARE CITED Contending ti e order of the public service commission authorising the Indiana Electric Corporation to issue $17,496.000 in securities for the purpose of purchasing the property of seven Indiana utility plants is “unlawful, illegal and void,” the city of Indianapolis, the city of Kokomo and various Indianapolis industrial concerns today filed a petition with the commission asking for a rehearing of the case. The petition contains fifty-one paragraphs, each setting out a reason why the order complained should not stand. The petition contends the corporation is not a untiltity and cannot legally function as a utility. The commission, the petitioners say, had no right to permit the corporation, with a capitalization of only SIO,OOO, to issue the securities authorized. PETITION HOLD ORDER VOID. The order is void, the petition holds, because the American Public Utilities Company and the Merchants Public Utilities Company, which are involved in the purchase and sale, were not parties to the action. The petitioners object further the order was issued on an amended petition filed after the original petition had been disposed of. On the subject of capitalization, the petitioners object to the fact the capitalization authorized is in excess of the total capitalization of the companies involved. The purchase of the utilities is characterized as a merger and as such, the petitioners aver, does not comply with the utilities law. The petitioners object to holding companies and contends the order of the commission adds another holding company to five already In existence. They further object the properties to be joined are widely scattered and the companies are formed under different laws. SAYS POWER PLANT WOULD LOWER VALUES. Concerning the proposed power plant in the coal fields, the petitioner contends it Is entirely unrelated to the case and the construction and operation of the power plant would decrease the values of the properties involved. One of the principal objections is the merging of the various properties makes the determination of adequate and proper rates Impossible and that in no place in its order does the commission allocate securities in each of the properties. It also points out the order does not designate the amount of cash and securities to be paid for eacn property. The valuation of the property, the petitioners contend, is in excess of the true value. The valuation quoted is $16,000,000. The working capital authorized, $600,000, is an excessive amount, the petitioners state and the $900,000 allowed for going value also is excessive. It also is
