WnorKCTiK.—The following is a letter in answer to one written by some responsible gentlemen of this city to the 'Wi&ttM&eik:Ibaurance Company, in con sequence of r*presenta tions made by Mr ^Wheeler, the former agent, to its policy holders in this vicinity, that the assess' mepts would not be collected, and he had io arranged on bis last trip to Freoport with the Company:

FBMttOBT, Illb., Nov. 22, 1867. Gentla^em Tobr favor of the 18th inst., is at hand land carefully noted.

The representations made by Mr. Wheeler are untrue and he knows them to bis so. An assessment has been levied on all the premium notes held by this Company,,: and we must collect it if it can be done.

Mr. W. was at this offics some three Weeks since and wanted the Company to 'compromise the matter of assessment in Terre Haute by charging tho parties Stock rates. We held that they having insurod on the mutual plan, they must take their chances with other mutual members^ and if they would not pay their assessments and wo could not collect it, (Mr. W. seemed to think we could not, by Jaw, ittlndiana) the policies will be void and it* be relieved of that much risk, which will besoimuch gained.

As to breaking faith with the policy ^holders, we do not see where that comes in, as We have always paid all losses in Indiana the satne as in this Stato, and that is all we agreed to do by our policies.

Undoubtedly Mr. W. feels aggrieved because we would not take Stock rates and let him settle with tho policy holders— had we done so, there might bo some truth in his assertion that wo bad "broke^,faith" with the policy holders.

Find enclosed a copy of our charter and by laws, premium note, and list of losses. Respectfully,

J(8diw. Wm. Tkkmojl, Sec'y.
