A Special Meeting oflthe Stockholders of the Louisville, htw Albany &, Chicago Railway Colpany will bo held at the offioes of the Company at Indianapolis, Indiana, on Wednesday, April lath, at 12 o’clock noon, to consider and aot upon the following propositions: 1. That the Compahy increase its capital stock by the issne of forty thousand shares of preferred stook (of the value of SIOO per share) for the purpose of providing means for the construction of its road, or the pnrohase of materials or equlpmeuts; said stook to be held by the Company and sold at stioh tin e or times ns the Board of Directors shall dot or mine at .the beßt price that can bt obtained for the same and as theprooee Is thereof are needed for the suooessful prosecution of the business o i the Company; provided this shall be offered for Bale to tbe stockholders pro rata before the same is otherwise disposed of. 2. That the Company shall also issue thirty thousand shares of preferred stook (of a par value of SIOO per share) for the purpose of exchanging the same with the stockholders of the Company for their common stook; and that eaoh stockholder shall be outitled to exchange twenty-live per centum of his present holding of common stock for an eqflal amount of preferred sto k, share for sha o, so that the holder of one hundred (l'OU) shares of the

present common stook shall receive twen-ty-five (25) sha os of preferred stook and seventy-five (75) shares of common stook and smaller holders in proportion. ,t. That all the aforesaid preferred stook shall be entitled in preference to the oommon stook o the Company to non-oumu-lative dividends not to exceed sixpercont (((\; per annum, if earned by the Company and declared by the Board of Directors payable when so declared out of the net earnings of theourre .t fiscal year and not otherwise.
